Terms of Service

1. The service
Coppermind CMO (“the Service”) is an AI memory layer for fractional CMOs, provided by Volacci Agency, LLC (“Volacci,” “we,” “us”). The Service runs as an MCP server inside your Claude instance and stores client data in our hosted infrastructure. By using the Service, you agree to these terms.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
3. Your account
You are responsible for maintaining the security of your API credentials and account access. You are responsible for all activity that occurs under your account. Notify us immediately at support@coppermind.app if you suspect unauthorized access.
4. Your data and intellectual property
- You own your data. All memories, brand voice documents, client information, and other content you store in Coppermind (“Your Content”) remain your intellectual property.
- Limited license to us. You grant us a limited, non-exclusive license to store, process, and transmit Your Content solely to operate the Service for you. This license terminates when you delete Your Content or close your account.
- Client handoff. You may export any client mind at any time. Exported data belongs to you. The terms of any transfer to your clients are between you and them — Coppermind does not retain rights to exported data.
- No training on your data. We do not use Your Content to train, fine-tune, or improve AI models. Ever.
- Feedback. If you voluntarily provide feedback, suggestions, or feature requests, we may use them to improve the Service without obligation to you.
5. AI features and outputs
- You own your inputs and outputs. Content you provide to Coppermind and any outputs generated (meeting prep, document synthesis, brand voice content) belong to you.
- No warranty on AI outputs. AI-generated content (including meeting prep, synthesis documents, and search results) is provided for informational purposes. It may contain errors, omissions, or inaccuracies. You are responsible for reviewing and verifying AI outputs before relying on them or sharing them with clients.
- No competing use. You may not use outputs from the Service to build, train, or improve a competing AI memory product.
6. Client mind subscriptions
You may offer exported client minds to your clients as an ongoing subscription. The terms of that subscription are between you and your client. Coppermind provides the infrastructure; you set the pricing and manage the relationship. We are not a party to agreements between you and your clients.
7. Team access
If you add team members (VAs, freelancers) to your account, you are responsible for their use of the Service and for ensuring they comply with these terms. You control their access level. You may remove team members at any time.
8. Acceptable use
You agree not to:
- Use the Service to store or transmit malicious, illegal, or harmful content
- Attempt to access other users’ data, minds, or accounts
- Reverse-engineer, decompile, or create derivative works of the Service
- Resell or redistribute access to the Service without written permission
- Use automated tools to scrape, crawl, or extract data from the Service beyond its intended API
- Use the Service in violation of any applicable laws or regulations
9. Beta services
During the beta period, beta features may be incomplete, contain bugs, or be discontinued without notice. We provide no service level agreement (SLA) during beta. Beta features are provided “as is” with no warranties of any kind.
10. Payment and billing
- Subscription. The Service is a paid monthly subscription, billed per client mind at the rates published at coppermind.app/pricing. A Personal mind is included free.
- Pricing. Current pricing is published at coppermind.app/pricing. We may change pricing with 30 days’ notice.
- Cancellation. You may cancel at any time. Your data remains accessible for 30 days after cancellation.
- Refunds. Payments are non-refundable except where required by law. If you cancel mid-billing-cycle, you retain access through the end of the paid period.
11. Warranty disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, completeness, or reliability of any AI-generated content. You use the Service at your own risk.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOLACCI’S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
In no event shall Volacci be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, regardless of whether we were advised of the possibility of such damages.
13. Indemnification
You agree to indemnify and hold harmless Volacci from any claims, damages, or expenses arising from: (a) your use of the Service, (b) your violation of these terms, (c) your violation of any third-party rights, or (d) content you store in or export from the Service.
14. Suspension and termination
- We may suspend or terminate your account if you violate these terms or if required by law.
- You may terminate your account at any time by contacting support@coppermind.app or using the built-in tools.
- Upon termination, you have 30 days to export your data. After 30 days, all data is permanently deleted.
- Sections 4, 5, 11, 12, 13, and 15 survive termination.
15. Dispute resolution
These terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas. You agree to personal jurisdiction in these courts.
16. Changes to these terms
We may update these terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
17. Miscellaneous
- Entire agreement. These terms, together with our Privacy Policy, constitute the entire agreement between you and Volacci regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver. Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment. You may not assign your rights under these terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
